Die Autorin vergleicht den Verordnungsentwurf der EU-Kommission aus dem Jahr 2008 mit verschiedenen anderen europäischen Gesellschaftsformen, für die bereits Mustersatzungen existieren. Auch wird die Frage deren Rechtsverbindlichkeit behandelt.
N2  - The author works at the introduction of a new European Private Company (SPE), a smaller, flexible corporation, comparable to the GmbH, for which the EU-Commision drafted and published a regulation in 2008, and the question whether there should be used model artcles in this company. The author therefore compares the company with several other european companies for which model artcles exist and also examines whether these model articles would be legally binding.
